APPROXIMATELY 9:00 AM (ET) ON MARCH 18, 2024 AND ENDS AT 11:59 PM (ET) ON MARCH 20, 2024.

1. ELIGIBILITY: The Orlando Pride Home Opener Enter To Win (the “Sweepstakes”) is open to legal residents of Florida
who live within a seventy-five (75) mile radius from Orlando, Florida (the “Territory”), and who are eighteen (18) years of age
or older as of the time of entry (the “Entrants”). Employees, officers, directors (including immediate family members (spouse,
parent, child and sibling and their respective spouses, regardless of where they reside) and members of the same household,
whether or not related) of Orlando Pride, LLC (“Orlando Pride” or “Sponsor”), National Women’s Soccer League, LLC
(“NWSL”), and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers,
printers and advertising and promotion agencies, and any and all other companies associated with the Sweepstakes, are not
eligible to participate or win a Prize.

The Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations. The Sweepstakes is void outside
of the Territory, and where prohibited or restricted by applicable law, rule, or regulation. Participation constitutes Entrant’s full
and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in matters related to
this Sweepstakes. Winning a Prize is contingent upon fulfilling all requirements as set forth herein. Proof of eligibility may be
required.

2. HOW TO ENTER: The Sweepstakes begins at 9:00AM Eastern Time (“ET”) on March 18, 2024 and ends at 11:59 PM
(ET) on March 20, 2024 (the “Sweepstakes Entry Period”). During the Sweepstakes Entry Period, there are two (2) ways to
enter. No other method(s) of entry will be accepted. Limit one (1) entry per person, per e-mail address, regardless of method
of entry. Multiple entries received from any Entrant in excess of the stated limitation will be void.

 (1) Online. During the Sweepstakes Entry Period, complete official online entry form available at https://forms.office.com/Pages/ResponsePage.aspx?id=wz6AMJCKhEOj7R96t5-xhin2ClBwH5BKuVtU1FsjbCFUOVFIOEo1WjFGT0FOSzZSU1BCTTFLRlI5Ry4u and click on “submit” (an “Online Entry”). By completing your online entry form as directed, you will receive one (1) entry in the Sweepstakes.

Entrants acknowledge that this Sweepstakes is in no way sponsored, endorsed or administered by, or associated with,
Instagram or X.

(2) Postcard. Print your name, address, telephone number, and age on a 3’ X 5’ piece of paper, and send completed entry
to: Orlando Pride Sweepstakes, 655 W. Church Street, Orlando, Florida, 32805 (a “Postcard Entry”).

No other methods of entry will be accepted. All entries must be submitted or post-marked, if applicable, by 11:59 P.M. (ET)
on , 2024 to be eligible for the drawing. Each entry must be submitted separately. No mechanically reproduced entries or
illegible, incomplete, forged or altered entries will be accepted. Entries generated by a script, macro or other mechanical or
automated means or by any means which subvert the entry process will be disqualified. All entries become the exclusive
property of Sponsor and will not be returned.

All information and files submitted in format specified will become property of Sponsor and used as provided in the NWSL’S
Privacy Policy and Terms of Use each of which can be found by visiting https://www.nwslsoccer.com/privacy-policy and
https://www.nwslsoccer.com/terms (both of which are incorporated herein by reference). Submission of contact information in
connection with this Sweepstakes (whether or not required) including, without limitation, name, mailing address, phone
number, and e-mail address during entry constitutes permission for Sponsor or the NWSL, and their respective directors,
officers, employees, agents, and assigns to use Entrant’s personal information for purposes of administration of the
Sweepstakes. The Release Parties (as defined below) may collect personal data from Entrants when they register for the
Sweepstakes via Online Entry. This information may be combined with other information you have submitted to them. Personal
data collected is subject to the NWSL’s privacy policy and will be handled consistent with that policy. Entrants may be required
to fully complete and submit all non-optional data requested on the survey form (if applicable) to be eligible; however,

eligibility to participate in the Sweepstakes is not dependent on entrant’s consent and consenting to do so will not increase your

chances of winning. Participants may opt-out of receiving such communications as set forth in NWSL’s Privacy Policy or as
provided within any such marketing materials (e.g., using the “Unsubscribe” feature provided in the footer of Sponsor’s e-
mails). If the entrant wishes to not consent to receiving commercial emails, entrant is encouraged to participate in the
Sweepstakes utilizing the Postcard Entry method of entry.

By submitting an entry, you further understand that, notwithstanding any current or prior Do Not Call directive or election to
opt-in or opt-out of receiving telemarketing calls, SMS messages, text messages, emails, or other messaging, by entering your
contact information, including my mobile or landline telephone number, you hereby expressly authorize Sponsor (including its
direct and indirect parents, affiliates, and subsidiaries, and its designated agents acting on its behalf) to contact you about future
offers such as purchases, through the telephone number or physical or electronic addresses that you have provided, such
permitted contact to be expressly authorized via SMS messages, text messages, emails, social media, and telephone calls and
messages delivered using an automated system for the selection or dialing of telephone numbers or the playing of a recorded
message when a connection is completed to a number called. You understand that this permission overrides and takes priority
directive over any prior listing by you on any Federal or State Do Not Call list and/or any prior listing on the Internal Do Not
Call list of Sponsor.  You understand that you can opt-out of future calls at any time by requesting to be placed on the Sponsor’s
Do Not Call list by emailing Sponsor at legal@orlandocitysoccer.com. You also understand that this consent is in no way a
condition of any purchase of property, goods, or services, nor shall any of the same be contingent upon the consent provided
herein.

The clock of the Sponsor will be the official timekeeper for this Sweepstakes. Each submitted entry must meet all of the required
representations and warranties set forth below. Failure to complete any step outlined in, or to follow any of the Official Ru les
herein will result in disqualification of the attempted entry.

3. RANDOM DRAWING: There will be one (1) potential winner of the Sweepstakes in all (the “Winner ”). The Winner will
be determined from all eligible entries received by a random drawing to be conducted on March 21, 2024. The decisions of
Sponsor is final and binding on all matters relating to this Sweepstakes. Odds of winning depend on the total number of eligible
entries received during the Sweepstakes Entry Period. No more than the advertised number of prizes will be awarded (assuming
sufficient number of eligible entries). If by reason of a printing or other error, more prizes are claimed than the number set forth
in these Official Rules, all Entrants making purportedly valid claims will be included in a random drawing to award the
advertised number of prizes available in the prize category in question.

4. PRIZE: One (1) grand prize is available to be awarded (the “Prize”): One (1) pair of West Club tickets to the Orlando Pride
home opener on March 22, 2024.

The total approximate retail value (the “ARV”) of the Prize is $150.00.. The Winner is fully responsible for any and all
applicable federal, state, and local taxes (including income and withholding taxes). All costs and expenses associated with the
Prize acceptance and use not otherwise specified herein is the sole responsibility of each Winner. All Prize details are at
Sponsor’s sole discretion. Sponsor is responsible only for delivery of the Prize, and not for use, utility, quality or otherwise.

The exact home game for the Prize is subject to availability and is at the Sponsor’s sole discretion. If applicable, any alcoholic
beverage made available as part of the Prize is only available for guests twenty-one (21) years of age and older. Sponsor is not
responsible if the tickets are lost, stolen, destroyed, or used without permission. If the tickets or tailgate parking passes are lost,
stolen, destroyed, or used without permission, they will not be replaced. The Winner and its guest agree to comply with Orlando
Pride’s Code of Conduct for Guests and Ticket Terms, accessible at https://www.orlandocitysc.com/tickets/ticket-terms (all of
which are incorporated by reference herein). In the event that the selected 2024 regular season Orlando Pride home game does
not take place as scheduled, for reasons such as cancellation, preemption, or postponement, or for any reason beyond the control
of Sponsor, no additional substitution or compensation will be provided.

The Prize is non-transferable and non-assignable, with no cash redemptions or substitutions (or portion thereof) except at
Sponsor’s sole and absolute discretion.. Sponsor reserves the right to substitute any of the Prizes (or portion thereof) with one
of comparable or greater value when necessary, at its sole and absolute discretion. Any difference between the stated value and
actual value will not be awarded. The Sponsor is not responsible for and will not replace any lost, mutilated or stolen Prize or
any Prize that is undelivered or does not reach a Winner because of an incorrect or changed address or email address.

The Sponsor is not liable to a Winner or to any other person for failure to supply the Prize described herein (or any part thereof)

by reason of such Prize (or any portion thereof) becoming unavailable or impracticable to award for reasons beyond the
reasonable control of the Sponsor, or for any force majeure events, technical or equipment failure, labor dispute, or act/omission
of any kind (whether legal or illegal), transportation, interruption, civil disturbance, or any other cause beyond the reason able
control of the Sponsor.

5. NOTIFICATION AND DELIVERY OF PRIZES: The Winner will be notified by e-mail and/or telephone (in the sole
discretion of the Sponsor) by a representative of the Sponsor. In the event that the Winner does not respond to any such
notification within forty-eight (48) hours of the time of issuance, or the potential Winner cannot be reached for whatever reason
after a reasonable effort has been exerted based on the contact information provided in the entry, a disqualification will result,
the Prize will be forfeited and, at the Sponsor’s sole discretion and time permitting, an alternate Winner may be chosen from
among all remaining eligible entries. The Winner may be required to submit identification to Sponsor and may be required to
execute, have notarized, and return an Affidavit of Eligibility. The Prize may be awarded to an alternate Winner selected
randomly from other remaining eligible entries if: (i) a potential Winner fails to meet the eligibility requirements as set forth
in Section 1; (ii) a Prize is returned as undeliverable; (iii) a potential Winner’s non-compliance with these Official Rules; (iii)
reasonable attempts to contact the Winner by phone, and/or email address are unsuccessful; or (v) the Winner declines the
Prize.

6. DISPUTE RESOLUTION:

(a) Informal Dispute Resolution. Prior to filing any arbitration proceeding pursuant to Section 6(b) hereof, the
party intending to file such a proceeding shall notify the other party in writing of the existence and the nature of the disp ute.
The parties each agree that within ten (10) business days of the other party's receipt of such notice, a representative of each
party shall meet in-person for a minimum of one (1) eight (8) hour day, or such shorter period of time if the dispute is more
quickly resolved, in Orlando, Florida in order to attempt to amicably resolve the dispute. If such informal dispute resolution
attempts prove to be unsuccessful, the notifying party may initiate the dispute resolution procedures available as set forth in
Section 6(b). Each party shall bear its own costs associated with the meeting and in no event shall either party be liable to the
other for any costs or expenses incurred as a result of such meeting.

(b) Arbitration. Except as provided in Section 6(c) with respect to injunctive proceedings, and Section 6(a) with
respect to informal dispute resolution, all controversies, disputes or claims arising between the parties arising out of or r elated
to the Sweepstakes shall be submitted promptly for arbitration to be conducted in Orlando, Florida, and administered by the
American Arbitration Association. Such arbitration proceedings shall be resolved by a single arbitrator selected by mutual
agreement of the parties. If the parties are unable to agree on the appointment of the arbitrator to resolve the dispute within
thirty (30) days from the date when the request for arbitration initially has been communicated to the other party, such
appointment shall be made by the American Arbitration Association. The arbitrator shall have the right to award or include in
the award any relief deemed proper under the circumstances, including attorneys’ fees and costs incurred by the prevailing
party. The award and decision of the arbitrators shall be conclusive and binding upon all parties hereto and judgment upon the
award may be entered in any court of competent jurisdiction. The parties waive any right to contest the validity or enforceability
of such award.

(c) Injunctive Relief. The parties acknowledge that violation of these Official Rules would cause irreparable
harm that would not be adequately compensable by monetary damages. In addition to other relief, it is agreed that preliminary
and permanent injunctive relief will be available to prevent any actual or threatened violation of such provisions.

7. WAIVER OF LIABILITY/PUBLICITY RELEASE: By participating in the Sweepstakes and submitting an entry, each
Entrant agrees to (i) be bound by the conditions stated in these Official Rules, including all entry requirements, (ii) be bound
by the decisions of the Sponsors, which shall be final and binding in all respects (iii) waive any and all claims against the
Sponsors, the NWSL and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers,
retailers, printers, representatives and advertising and promotion agencies, and any and all other companies associated with the
Sweepstakes, and all of their respective officers, directors, employees, agents and representatives (each a “Released Party” and
collectively, the “Released Parties”) for any liability, causes of action, injury, damage or loss that may occur, directly or
indirectly, in whole or in part, from the participation in the Sweepstakes or from the receipt or use the Prize (including any
taxes or other fees assessed on any Prizes) awarded in this Sweepstakes ; (iii) indemnify and hold harmless the Released Parties,
from any and all claims, liabilities, suits, cots, expenses (including, without limitation, costs of investigating and settling any
indemnified matters), fees (including reasonable attorneys’ fees) and damages which may be made, brought against, or incurred

by a Released Party in connection with any loss or liability arising out of or resulting from any act or omission of any Released

Party in connection with the Sweepstakes or receipt or use of the Prize.

Except where prohibited by law, a Winner’s acceptance or receipt of the Prize grants permission to Sponsor, the NWSL and
each of their respective designees, the right to use publicize the Winner’s name, address (city and state of residence),
photograph, voice and/or other likeness and Prize information in any and all media now known or hereafter devised, throughout
the world, in perpetuity, without additional compensation or consideration, notification or permission.

8. GENERAL CONDITIONS:

By participating in the Sweepstakes and submitting an entry, each Entrant warrants that he or she is eligible to participate in
the Sweepstakes and agrees to be bound by the decisions of the Sponsor, which shall be final and binding in all respects.

Each Entrant assumes all risk of damaged, lost, late, incomplete, invalid, incorrect or misdirected entries. The Released Parties
are not responsible for late, lost, damaged, garbled, delayed, undelivered, inaccurate, postage due or garbled entries,
misaddressed, incomplete, illegible or misdirected entries. Entries generated by a script, macro or other mechanical or
automated means or by means which subvert the entry process will be disqualified. Released Parties are not responsible for
lost, interrupted or unavailable networks, servers, Internet Service Providers (ISP), websites or other connections, availability
or accessibility or miscommunications or failed computers, satellites, telephones, or cable transmissions, lines or technical
failure or jumbled, scrambled, delayed or misdirected transmissions or computer hardware or software malfunctions, failures
or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network,
typographical, printing or otherwise relating to or in connection with the administration with the Sweepstakes, including,
without limitation, errors or difficulties which may occur in connection the administration of the Sweepstakes, the processing
of entries, the announcement of the Prize[s] or in any Sweepstakes-related materials. Released Parties are also not responsible
for any incorrect or inaccurate information, whether caused by website users, tampering, hacking, or by any equipment or
programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to
entrants’ or to any other person’s computer or mobile phone related to or resulting from participating in this Sweepstakes or
downloading materials from or use of any website or for any other factors beyond the reasonable control of the Released Parties.

This Sweepstakes may not be used for any form of gambling. In the event that the Sweepstakes is challenged by any legal or
regulatory authority, the Sponsor reserves the right to discontinue or modify the Sweepstakes, or disqualify Entrants residing
in the affected geographic areas. In such event, Released Parties shall have no liability to any Entrants who are disqualified due
to such action.

Persons who tamper with or abuse any aspect of the Sweepstakes or website or attempt to undermine the legitimate operation
of the Sweepstakes by cheating, deception or other unfair playing practices, or intend to annoy, abuse, threaten, harass any
other Entrant or Sponsor’s representatives or who are in violation of these Official Rules, as solely determined by Sponsor, will
be disqualified and all associated entries will be void. Any attempt to deliberately damage the content or operation of this
Sweepstakes is unlawful and subject to legal action by the Sponsor, the NWSL and/or their respective agents. Sponsor and the
NWSL shall have the sole right to disqualify any entrant for violation of these Official Rules or any applicable laws relating to
the Sweepstakes, and to resolve all disputes in their sole discretion. Released Parties (i) make no warranty, guaranty, or
representation of any kind, either express or implied concerning any Prize; and (ii) disclaim any warranties, including, but not
limited to, the implied warranties or merchantability, fitness for a particular purpose, and/or non-infringement.

All disputes and this Sweepstakes shall in all respects be governed by, and construed in accordance with, the laws of the State
of Florida, including all matters of construction, validity, and performance, without giving effect to its conflict of laws
provisions (whether of the State of Florida, or any other jurisdiction, which would cause the application of the laws of any
jurisdiction other than the state of Florida). Sponsor’s failure to enforce any of these terms of these Official Rules shall not
constitute a waiver of that provision.

As a condition of participating in this Sweepstakes, Entrants agrees that any and all disputes which cannot be resolved between
the parties and causes of actions arising out of or connected with this Sweepstakes, shall be resolved individually, without
resort to any form of class action, exclusively before a court or arbitrators, and not a jury, located in Orange County, Florida,
that is hereby agreed to have jurisdiction. Further, in any such dispute, under no circumstances will an Entrant be permitted to
obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable

attorneys’ fees, other than participants actual out-of-pocket expenses, and entrant further waives all rights to have damages

multiplied or increased.

The Sponsor and the NWSL, as applicable, reserve the right, in their sole discretion, to cancel or suspend the Sweepstakes for
any reason, including should any virus, bugs, unauthorized human intervention, fraud or other causes or factor corrupts the
administration, security, fairness, integrity or proper operation of the Sweepstakes. In the event of cancellation, Sponsor m ay
elect to identify the potential Winner and award the Prize from among all non-suspect, eligible entries received up to the time
of cancellation. Furthermore, the Sponsor, in its sole discretion, reserves the right to modify these Official Rules for clarification
purposes without materially affecting the terms and conditions of the Sweepstakes.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR
UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF
CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR AND NWSL
WILL DISQUALIFY ANY SUCH ENTRANT, AND THE SPONSOR AND THE NWSL RESERVE THE RIGHT TO
SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH ENTRANT
TO THE FULLEST EXTENT PERMITTED BY LAW.

All Online Entries must include a valid e-mail address for the Entrant. If only one (1) entry per person is permitted, in case of
multiple entries received from any person or e-mail address or household, only the first entry received from such person, e-
mail address or household will be considered. In the event of a dispute as to the identity or eligibility of a Winner based on an
e-mail address, the winning entry will be declared made by the Authorized Account Holder of the e-mail address submitted at
the time of entry provided that he/she is eligible according to these Official Rules. The “Authorized Account Holder” is defined
as the natural person to whom the applicable Internet service provider or other organization (such as a business or education al
institution) has assigned the e-mail address for the domain associated with the submitted e-mail address.]

9. WINNER’S NAME: For the name of the Winner (available after March 22, 2024) mail a self-addressed, stamped envelope
to: Orlando Pride, LLC, Winner’s Name, c/o Legal Department, 655 W. Church Street, Orlando, Florida 32805. The list will
be sent after the selection of the Winner.

10. SPONSOR: The Sponsor of this Sweepstakes is Orlando Pride, LLC 655 W. Church Street, Orlando, Florida 32805. The
NWSL, Instagram, X are not sponsors, administrators, or prize providers of this Sweepstakes and are in no way responsible or
liable for the administration of this Sweepstakes. Any trademark used is the property of its respective owner and are used for
Prize description purposes only.
